An identity check, a company registration and a filing deadline are different tasks. Directors and people with significant control should check the requirement attached to their own role.
Choose a structure, register correctly and separate tax deadlines from commercial plans.
THE LONNOW GUIDE
Build the business around customers and obligations
Starting a London business involves two different jobs: finding something customers will pay for and choosing how to operate it responsibly. A company name, a pitch deck and an address cannot do either job on their own.
An editorial decision guide, not a ranking. Choose the option that fits your circumstances, then check the relevant official information before committing.

Test the commercial question before expanding the setup
Define one customer, one problem and the alternative that customer uses now. A practical first test might be a clearly scoped service proposal or a demonstration of a product, with an honest description of what exists and what does not. Record the response: what the customer understood, what they would need before buying and which part of the offer was unclear. Compliments and social-media interest are not the same evidence as a workable order.
Then sketch the cash cycle. When will you pay suppliers, deliver the work and receive the money? An order that looks profitable can still leave a gap if you must fund materials or substantial work before payment. Keep a modest first-year plan with separate assumptions for sales, operating costs and personal living costs. This is an editorial planning framework, not a prediction of your revenue or a recommendation to borrow.
Choose a structure for responsibility, not appearance
GOV.UK describes a sole trader and a limited company as different ways of operating a business. A sole trader is personally responsible for business debts. A limited company is a separate legal entity, with directors responsible for running it and meeting its obligations. Neither description means every business faces identical risks, nor that forming a company removes every possible personal exposure.
Make the comparison with the work you intend to do: clients, partners, investment, record keeping and the help you will need. If you choose a limited company, its money is not simply your personal spending account; the official guidance explains that taking money out is governed by rules. Professional advice is particularly useful when ownership, liability or tax treatment is central to the decision.
For a sole trader, the government guidance starts business records when trading starts; registration and tax obligations depend on the relevant rules and circumstances. A limited company has its own company and accounting records, filings and tax responsibilities. Keep invoices, expenses and agreed customer terms in a system you can actually maintain. Handing records to an accountant does not remove a director’s legal responsibility for the company.
Map additional obligations from the activity rather than the business name: premises, licences, insurance, selling online and handling personal information can introduce further requirements. A food stall, an online consultancy and a business with employees should not be treated as one standard setup checklist. If you are moving to the UK, do not use incorporation paperwork as proof of your personal permission to work here.
Bank Rate influences the wider borrowing and savings environment, but a headline change is not the same as the interest rate written into your business’s own facility. When assessing finance, put the repayment schedule, fees, security and any personal guarantee beside the proposed use of the money. Consider what happens if a customer pays late or a projected sale never arrives.
For a founder’s personal budget, keep salary, housing and commuting comparisons separate from company turnover. A business can have sales without enough spare cash to support the owner at the level they hoped. Our Bank Rate and salary explainers provide context; they are not a substitute for the terms of a particular product or individual financial advice.
Does appointing an accountant remove a director’s responsibility?
No. GOV.UK explains that a director remains legally responsible for the company’s records, accounts and performance even when someone else helps with them. Agree who prepares information and who checks the filings.
Is a limited company always the better starting point?
There is no universal answer. The government comparison distinguishes liability, finances and record keeping. Choose against the needs and risks of the actual activity rather than treating incorporation as a measure of commercial progress.
Business and money decisions need a date, definition and source. These guides connect London careers, startups, household finance and economic signals without pretending that one number answers every case. Confirm regulated or financial decisions with the relevant official body or qualified adviser.
